Acceptance of Terms

By accessing or using the services provided by ODECI Consulting Group ("ODECI", "we", "our", or "us"), you ("Client", "you", or "your") agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not access our services.

Client Responsibilities

Clients agree to:

  • Provide accurate and timely information.

  • Cooperate during the development and implementation phases.

  • Refrain from using our solutions for unlawful or harmful purposes.

Limitations of Liability

ODECI is not liable for any indirect, incidental, or consequential damages arising from the use or misuse of our AI solutions. Our total liability will not exceed the fees paid for the specific service giving rise to the claim.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of law principles.

Services Offered

ODECI provides AI solutions and consulting services, including but not limited to:

  • AI strategy development

  • Integration of machine learning models

  • Implementation of AI-powered tools and platforms

  • Automation consulting and support These services may involve the use of third-party platforms such as OpenAI, AWS, Microsoft Azure, and others.

Use of AI & Data Responsibility

Our solutions rely on the quality and scope of the data provided by clients. We are committed to ethical and responsible AI use and expect the same from our clients.

  • Clients are responsible for ensuring that any data shared is lawful and ethically sourced.

  • We do not guarantee specific outcomes, as AI results depend on numerous variables.

  • Clients are responsible for how the solutions are used post-deployment.

Intellectual Property

Unless otherwise stated in writing:

  • ODECI retains ownership of any proprietary tools, models, or code developed during the engagement.

  • Clients receive a non-exclusive, non-transferable license to use the deliverables for internal business operations.

Confidentiality

Both ODECI and the Client agree to maintain the confidentiality of all proprietary and sensitive information shared during the project.

  • This includes trade secrets, business processes, and client data.

  • This obligation survives the termination of the agreement.

Payment Terms

  • Specific payment schedules will be outlined in the client agreement.

  • Invoices are due within 15 days of receipt unless otherwise agreed.

  • Refunds, if any, are handled on a case-by-case basis and are not guaranteed.

Termination

Either party may terminate the agreement with 14 days’ written notice. Upon termination:

  • All outstanding payments are due immediately.

  • Any ongoing work will cease unless otherwise arranged.

Changes to Terms

ODECI Consulting Group reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes. Continued use of our services implies acceptance of the revised terms.

Disclaimers

  • AI solutions may carry inherent limitations, including potential biases based on training data.

  • We utilize third-party tools and platforms, and are not responsible for their performance, uptime, or availability.
